- Trademarks: The Tools Platform name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tools Platform or its affiliates. You may not use such marks without our prior written permission.

3.2 Your Content and Data
Users retain ownership of the data and content they input into the platform. 4.1 Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in your account settings
- Contacting our support team and requesting account deletion
- Simply ceasing to use the Service (though your account may remain active)
Upon termination by you, we will delete or anonymize your personal information in accordance with our Privacy Policy, subject to any legal retention requirements.
4.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice, if:
- You breach any provision of these Terms
- You engage in fraudulent, illegal, or harmful activities
- You fail to pay any fees owed to us
- We are required to do so by law or court order
- We discontinue or modify the Service in a way that affects your account
4.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will immediately cease
- We may delete your account information and content, subject to our data retention policies
- You will not be entitled to any refund of fees paid, unless required by law
- Any outstanding fees or charges will remain due and payable
4.4 Surviving Provisions
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability, dispute resolution provisions, and any other provisions that are intended to survive the termination of this Agreement.
5. Limitation of Liability
In no event shall Tools Platform, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service, (ii) any conduct or content of third parties on the Service, or (iii) any unauthorized access, use, or alteration of your transmissions or content.
5.1 Disclaimer of Warranties
Important Disclaimer:
The platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Any defects or errors will be corrected
- The Service is free of viruses or other harmful components
- The results obtained from using the Service will be accurate or reliable
5.2 Limitation of Damages
To the maximum extent permitted by applicable law, our total liability to you for any claims arising out of or relating to the use of or inability to use the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability will be limited to the fullest extent permitted by applicable law.
5.3 Indemnification
You agree to defend, indemnify, and hold harmless Tools Platform, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Service, including any content you submit
- Your violation of any rights of another party
- Your violation of any applicable laws or regulations
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
6.1 Jurisdiction and Venue
Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in San Francisco County, California. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.
6.2 Dispute Resolution
Before filing a claim against Tools Platform, you agree to try to resolve the dispute informally by contacting us at legal@toolsplatform.com. We will try to resolve the dispute informally within 60 days of receiving your notice. If we cannot resolve the dispute informally, you agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below.
You and Tools Platform agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration, except that either party may bring claims in small claims court if the claims qualify.
6.3 Class Action Waiver
You and Tools Platform agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you and Tools Platform each waive any right to a jury trial.
6.4 Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that comes closest to the intent of the invalid provision.
6.5 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Tools Platform. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
6.6 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Tools Platform concerning the Service and supersede all prior agreements and understandings, whether written or oral, relating to the Service.
